SIRIUS, XM SET TO CONFIRM MERGER PLAN TODAY

February 19, 2007 -- Satellite radio operators Sirius and XM are expected to announce their long-awaited merger today, according to a source familiar with the deal.

The two sides were locked in negotiations over the weekend trying to hammer out a final agreement with an eye toward going public with the merger today in Washington, D.C., where XM is based, this source said.

Talks were still going on at press time and the deal could fall apart at any time. With antitrust issues of paramount importance, this source said lawyers for both companies were working overtime to fine-tune the language of the agreement and frame the discussion around the deal itself and not regulatory concerns.

The transaction is expected to be structured as a merger of equals, but given Sirius' higher enterprise value, shareholders in the Mel Karmazin-led firm will likely come away with a larger percentage of a combined company.

According to the source, XM Chairman Gary Parsons will retain that title in the combined entity, with Karmazin likely taking the CEO role. It is unclear what role, if any, XM CEO Hugh Panero will play.

Combining Sirius and XM would result in a single satellite radio operator with more than 12 million total subscribers. A deal would also marry Sirius content, such as Howard Stern, Frank Sinatra and Nascar with XM's Oprah Winfrey, Bob Dylan and Major League Baseball.

More important, analysts widely predict that a deal would also save the two companies nearly $7 billion annually.

Karmazin and Parsons have been dropping hints since last summer about a possible tie-up, believing that competition from terrestrial radio, online radio and mobile music devices such as iPods have not only expanded the marketplace but also lowered the regulatory hurdles to a deal.

In a note on Friday, Bear Stearns analyst Robert Peck speculated that Sirius and XM needed to move quickly before their window of opportunity closed.

Gaining regulatory approval "could take up to 15 months; hence, we think any proposed deal needs to be announced by the end of March to close by mid-2008," Peck wrote.

On Friday, XM shares hit their lowest point since early November while Sirius shares were approaching 52-week lows. Shares in both companies did trade on heavy volume and ended the session higher, with Sirius gaining 10 cents to close at $3.70 and XM jumping a dollar to $13.98.

That's GREAT news.

I think Sirius has superior content (especially with the NFL) but XM kicks buttt with equipment and satellite strength.

I think just the opposite... :D

Sirius has the NFL but that's it unless you are a Stern fan, but that's just my opinion...

I enjoy XM's content much more...

The thing that scares me is that Sirius has gotten itself in to sirius (pun intended) trouble with their outrageous spending on talent...

With Mel Karmazin being CEO, I don't have much faith that our monthly rates won't go up to $15+ a month.

He's also a Stern lackey and will likely do away with O&A...

Now, the NFL thing I like a LOT...

I listen to two channels and two channels only on my Sirius... the NFL Network and the 80s station (ok, and a little bit of First Wave).

I just have always heard that XM has better equipment and better signal strength.

One thing I'd love if satellite radio had was local sports stations. If you're listening to the Cowboys broadcast on gameday, you get the Ticket crew... it'd be nice if I could listen to the Ticket on a day to day basis as well.

Oh I didn't disagree on the equipment, XM is FAR superior, even Sirius admits that...

I meant on the programming content. I listen mostly to ESPN or FoxSports (which isn't on Sirius), but I also listen to a lot of other stuff as well during the offseason...

During the offseason, I give my Sirius to my wife and I use my ipod. Then, once training camp is underway, I take the Sirius back and listen to NFL almost exclusively.

Totally hooked on satellite radio now. I haven't listened to regular radio since my wife bought me my Sirius for Christmas.

I initially hated it, as the reception just totally sucked. According to a Best Buy geek, the FCC had regulated Sirius down on frequency...and an adapter was offered (@ $30) so you could hook directly into your FM stereo.

I installed it, and have no problems at all, signal strength is excellent. My favorite feature is the 'artist memory', in which you can store up to 30 artists in a memory, and if anyone of them are played on any station, the radio beeps, and you can go directly to the station playing that artist.

I have been addicted to Sirius for a year now but I never heard of that feature.

I would love that.

You're not saying Sirius doesn't carry ESPN are you? Just not FoxSports.

When an artist you like is playing....just press 'Memo' (or memory) (and don't hold it down). After you press Memo, the screen should read-

Artist Stored?
Song Stored?

Artist Stored should be highlighted...all you do is then press the main button (the one with the logo on it).

And you're set.

To see the list of artists, or songs, you have stored, just hold down the Memo button until the first artist is listed. Then toggle through it with your up and down buttons. This is where you also edit it if you want. Once you get to an artist, press the main button, and it will give you the option of deleting or not.

I am gonna have to go outside and check this out... I dont really recall a memory button but maybe I never noticed it.

First thing I said to my wife was...We'll probably have to buy new equipment and the price could go up. After all with no competition in Satellite Radio...If you want it now...you'll have to pay what they want with no threat to go to the other guy. And when we switched to Sirius...XM made the full court press on us to stay.

There are reasons why we have Anti Trust laws.

Competition is a GREAT Thing!

Yeah I wanna upgrade it anyway. I want some fancy color LCD with a DVD player.

I got a new VW back in May... I dont the know the model # off the top of my head.
