You cant refuse a deadball foul but you can refuse a live all foul (which is what they did)

that doesn't answer my issue at all

two fouls are called, if both are live then only one can be accepted. If the unsportsmanlike is dead ball then it can be tacked onto the Holding, which obviously NE would want. That they had to choose means both were live ball, meaning you replay 2nd down.
